This is the current commercial rule set presented later for candidate-specific electronic acceptance. The organization name, signer, timestamp, IP/user-agent evidence, exact accepted text, and SHA-256 hash are preserved at acceptance.
Compensation follows expressly accepted partner-originated business and qualifying Net Collected Revenue. The account high-water level never resets downward merely because revenue later declines and recovers.
Operating rules
1. Opportunity registration and acceptance: the partner submits a Complete Opportunity Registration through the MCAI Sales Console or another MCAI-designated written channel. The five-business-day response period begins on the first MCAI business day after a complete submission is recorded. MCAI will affirmatively accept or reject the registration in writing within five MCAI business days; a rejection will state the operational reason. If MCAI requests missing information, the response period restarts after the missing information is supplied. If MCAI issues none of an Acceptance Notice, a reasoned written rejection, or a specific written request for missing information within that period, a registration that was complete when submitted receives provisional economic protection from its original complete submission date. This is a provisional reservation of potential attribution only, not acceptance, commission earned or payable, or authorization to represent MCAI or contact the customer. It does not apply to demonstrably house-owned, already protected, duplicate, or otherwise excluded opportunities. MCAI may reject or narrow provisional attribution for documented grounds under the opportunity acceptance criteria, including evidence discovered afterward; no unsupported retroactive acceptance arises through silence. MCAI must escalate overdue registrations for written resolution within a further five MCAI business days, giving the partner the reason for any continued hold. A disputed or unresolved registration remains provisional without commission payment until affirmative acceptance or a documented rejection; silence never becomes final acceptance.
2. Opportunity acceptance criteria: MCAI may accept partner-originated attribution when the submission shows a specific account, a credible relevant need/use case, meaningful customer-side validation or engagement, a named stakeholder and plausible decision path/economic buyer, attributable partner relationship/source evidence, and a concrete next step. MCAI may reject or narrow attribution for pre-existing protected scope, duplicate registration, insufficient customer-side evidence, materially unsupported claims, sanctions/compliance restrictions, or another documented conflict with current MCAI standing.
3. Economic attribution and governed outreach are separate processes. Acceptance of partner-originated business establishes economic attribution; approval of an automated campaign, target set, sender identity, or outreach workflow authorizes only that governed outreach scope and does not by itself create or transfer economic attribution. Likewise, economic attribution does not automatically authorize outbound automation.
4. Once an accepted opportunity is attributable to the partner, compensation follows the account economics rather than requiring proof of who caused each individual expansion.
5. High-water methodology: new economic value above the prior Established High-Water Level earns 20%; retained/repeat qualifying revenue within that level earns 10%. MCAI records the baseline and any later upward change in the preserved account/commercial record. The high-water level changes only when an approved qualifying production baseline exceeds the prior level; it never resets downward because of contraction or later recovery.
6. Percentages do not stack. The same customer revenue cannot be paid twice at full partner rates. If MCAI expressly records joint attribution or a commission split before economics attach, that written split controls.
7. The program is global, non-territorial, and non-exclusive unless MCAI agrees otherwise in writing. Published MCAI/Harmonic portfolio pricing is reference pricing; a partner may not discount, modify customer terms, or bind MCAI without written authority.
8. The standard motion is a qualified paid production pilot (current starting point $25,000). A qualifying pilot carries a $10,000 credit toward the first annual Enterprise agreement when production begins within 60 days of pilot completion. Pilot compensation follows the 20% new-value rule; the credited amount is not compensated twice.
9. Thirty-day pursuit protection: after an opportunity is accepted, its protected pursuit window runs for 30 days. Substantive customer-side engagement (for example a meaningful reply, accepted meeting, discovery, requested demo/pricing/proposal, decision-maker engagement, or qualified referral) renews the window for another 30 days when preserved in the MCAI record. Automated outreach, internal notes, or merely moving a next-action date do not renew it. Expiry may allow account coverage to be released or reallocated, but does not by itself rewrite historical accepted attribution or extinguish the accepted economic tail.
10. Partner standing: ACTIVE means current certification and ordinary representation/workspace rights. UPDATE_REQUIRED is a curable certification or administrative deficiency; representation/new CRM actions may be paused while accepted economics continue. SUSPENDED is a temporary review state; already EARNED/APPROVED amounts remain preserved and qualifying new accrual is HELD pending resolution. INACTIVE means the relationship is no longer current without an adverse misconduct determination. Outside any applicable Change-of-Control Protected Period, no commission right arises from opportunities not already accepted by the Effective End-of-Standing Date. Commission rights under an accepted partner-originated binding customer agreement executed before that date survive as provided under Ordinary termination, including eligible revenue collected later. REVOKED means standing ended for established Cause/Misconduct after documented review; no new representation or opportunity rights arise after revocation. Commission from pre-revocation accepted binding customer agreements unrelated to the established misconduct remains eligible under the Ordinary termination and earning rules; only commission directly produced by or materially tainted by established misconduct may be withheld, denied, offset or clawed back, subject to the applicable documented review and law.
11. Ordinary termination: the partner may resign by written notice effective on the date stated in the notice (or on receipt if no later date is stated). MCAI may terminate the relationship without cause on 30 calendar days' written notice. MCAI may suspend immediately while a documented cause review is pending and may revoke/terminate for established Cause/Misconduct effective on the recorded determination date. The exact Effective End-of-Standing Date must be preserved in the partner-standing record. Termination does not erase historical attribution, amounts already earned or payable, or the contractual commission tail on Accepted Partner-Originated Business under a binding customer agreement executed before the Effective End-of-Standing Date. Subject to the agreed commission rates, established high-water methodology, payment and verification rules, and any express commission-duration limit, Qualifying Net Collected Revenue received later under that agreement as it existed at termination remains commissionable. No automatic tail attaches to a new agreement, renewal, expansion, or additional scope entered after termination unless separately agreed in writing. The applicable Change-of-Control Protected Period remains controlling and is not reduced by ordinary termination. Established Cause/Misconduct only affects commission directly produced or materially tainted by that conduct under the specific Cause/Misconduct provisions.
12. Change of control and successor assumption: in a merger, acquisition, sale of substantially all assets, sale or transfer of the applicable MCAI business, or other transaction resulting in a successor to the relevant MCAI business operations, MCAI must require the successor or assignee to assume MCAI's obligations for qualifying pre-closing Accepted Partner-Originated Business. That assumption includes earned but unpaid commission and the remainder of the applicable Change-of-Control Protected Period. Protected economics continue through the earlier of 30 months after closing or the partner's voluntary withdrawal/resignation or REVOKED standing for established Cause/Misconduct, subject to the same terms, limitations, and conditions that applied immediately before closing. A non-cause INACTIVE status or non-cause termination by MCAI or the successor does not defeat this protected period. Suspension places qualifying accrual in HELD status pending review.
13. Commission earning, reporting, verification and payment: commission becomes EARNED when Qualifying Net Collected Revenue is actually received and the accepted attribution/rate can be verified from the preserved commercial record. For Accepted Partner-Originated Business under a binding customer agreement executed before the Effective End-of-Standing Date, eligible revenue received after termination under that pre-existing agreement becomes EARNED on receipt and verification despite termination, subject to the stated tail limitations. For revenue received while a registration is provisionally protected, preserve receipt and attribution records but do not mark commission EARNED, APPROVED, or payable unless MCAI later affirmatively accepts the attribution; on acceptance, qualifying receipts since the original complete registration date are calculated and recognized, excluding revenue outside the accepted scope and subject to the same verification and high-water rules. A documented valid rejection releases the provisional reservation and confers no commission right. MCAI will provide an account-level commission statement sufficient to show the account, receipt date, qualifying amount, permitted deductions, high-water/basis classification, rate, payout currency/FX calculation (if any), and commission amount. The partner may request reasonable supporting records relevant to a disputed calculation, subject to customer confidentiality and lawful redaction. A correctly submitted partner invoice for EARNED commission is payable within 30 calendar days unless the parties record a different written payment schedule for that partner.
14. Currency, invoicing, tax and fees: the agreement records the partner's payout currency. For EUR payouts where qualifying revenue is received in another currency, conversion uses the most recently published European Central Bank reference rate available for the receipt date, with no MCAI FX spread or conversion charge deducted from commission. Commission amounts are exclusive of VAT or analogous transaction tax properly chargeable by the partner under applicable law; any such tax shown on a valid invoice is added to, not deducted from, the agreed commission. MCAI bears sender-side bank/wire/payment-processing fees; fees charged solely by the partner's receiving bank are borne by the partner.
15. MCAI may not change partner standing for the purpose of avoiding otherwise payable commission. Material standing changes must preserve the reason, effective time, reviewer/authority, and evidence supporting the change.
16. No quota: HCDP does not impose an arbitrary monthly sales quota, minimum opportunity count, revenue floor, or outbound-volume requirement as a condition of ACTIVE standing. Individual opportunity protection remains subject to its separate current-activity requirements.
17. Automated outreach: independent-partner outreach requires current partner identity consent, current template/campaign/target-set approval, and MCAI's separate final ON/OFF authority. The partner may withdraw identity consent or exclude specified organizations/domains/sectors/geographies/contacts. MCAI may pause automation without changing historical attribution or accepted economics.
18. Responsibility and IP: MCAI remains responsible for its product, platform, intellectual property, and company-authorized commitments. The partner remains responsible for its own conduct, unlawful acts, confidentiality breaches, unauthorized representations, and commitments outside granted authority. Pre-existing and independently developed IP remains separate unless expressly incorporated by signed writing.
19. Document hierarchy: (1) a later written amendment or replacement agreement signed by both parties controls to the extent it expressly changes these terms; (2) this preserved HCDP Commercial Agreement controls commercial economics, attribution, standing-related commercial effects, and partner operating rules; (3) the executed Mutual NDA controls confidentiality/non-use and its dispute framework where incorporated below; (4) current MCAI standing/operating procedures govern administration only and may not silently amend accepted economics. If provisions overlap, the more specific signed provision controls for that subject without rewriting unrelated provisions.
20. Governing law and dispute resolution: Texas law governs these commercial terms, without regard to conflict-of-law rules. The parties incorporate the same good-faith notice, one-neutral-arbitrator ICDR binding arbitration, English-language, normally remote proceeding, Houston, Texas legal seat, judgment-enforcement, and temporary/preliminary equitable-relief framework stated in the executed MCAI Mutual NDA, unless a later signed agreement expressly replaces that dispute framework.
21. Commission is calculated on qualifying Net Collected Revenue under HCDP-CP-001 v1.9. These accepted terms govern partner commercial economics and operating rules unless MCAI and the partner later execute a written amendment or replacement agreement.
